These Terms of Service ("Terms") govern your access to and use of the Iris Financial platform, applications, and related services (collectively, the "Services") provided by Iris Secure Technology Solutions LLC ("Iris Financial," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
By creating an account, accessing, or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. You must be at least 18 years of age and capable of forming a legally binding contract to use the Services. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
Iris Financial is an all-in-one financial management platform for businesses, churches, and nonprofit organizations. The Services may include, without limitation: bookkeeping and expense management, invoicing, payment acceptance through Iris Pay, Text-to-Give donation processing, supplier and order management, mobile money integrations for supported international markets, reporting, and related tools.
We may add, modify, or discontinue features at any time. Certain features rely on third-party providers (for example, Stripe for card processing and Telnyx for SMS delivery), and your use of those features may be subject to the respective provider's terms.

Certain Services are offered on a paid or subscription basis. By selecting a paid plan, you agree to pay all applicable fees as described at the time of purchase. Fees are billed in advance and, except where required by law, are non-refundable.
Payment processing for transactions you accept through the Services (including Iris Pay and Text-to-Give donations) is performed by third-party processors such as Stripe, and is subject to their terms and processing fees. You are responsible for any taxes associated with your use of the Services. We may change our fees or subscription pricing on a prospective basis with reasonable notice.
Iris Financial (operated by Iris Secure Technology Solutions LLC) offers a transactional SMS messaging program through the Iris Financial platform at irisfinancial.tech. Messages are sent only to users who have explicitly opted in and may include Iris Pay transaction confirmations and payment alerts, Text-to-Give donation confirmations and receipts, donor giving statements, invoice payment reminders, supplier order and delivery notifications, mobile money transaction confirmations, and account security alerts specific to the Iris Financial platform. This SMS program is separate from and fully independent of all other Iris Secure products; consent collected here is never used for communications from irissecure.tech, Iris Workplace, or WeMeet.
The exact consent language presented at opt-in (on the registration form and in account settings) is:

Message frequency varies. Message and data rates may apply. Reply HELP for help and STOP to unsubscribe. Consent is not a condition of any purchase or donation."
Consent is not a condition of any purchase, donation, or use of our Services. The SMS consent checkbox is unchecked by default, and providing your mobile number and consent is entirely optional. You may also begin a giving conversation by texting your organization's unique giving keyword to our number, or reply START, YES, or UNSTOP to resume messages after a prior opt-out.
Message frequency varies based on your account and transaction activity — up to approximately 4 messages per month on average. Message and data rates may apply depending on your mobile carrier and plan. Iris Financial is not responsible for any carrier charges.
You may opt out of SMS messages at any time by replying STOP to any message. Additional opt-out keywords include STOPALL, UNSUBSCRIBE, CANCEL, END, and QUIT. After opting out, you will receive one final confirmation message and no further messages unless you re-enroll. You may also opt out at any time by toggling off SMS notifications in your account settings or by emailing [email protected].

Our Text-to-Give feature uses a guided, reply-based conversation rather than payment links texted to you. After a donor begins — by texting the organization's unique giving keyword or replying to a prompt — we ask how much they would like to give and, where applicable, which fund. A first gift is completed once through a secure, single-use card page; with the donor's permission the card is then securely saved so future gifts can be completed by confirming via text, and we may ask the donor to confirm an amount before charging. If a saved card is declined, we send a secure link to update it. Donations are charged on the receiving organization's own payment account through our payment processor; Iris Financial does not add fees to SMS donations, and standard message and data rates from your carrier still apply.
Mobile information will not be shared with third parties or affiliates for marketing or promotional purposes. SMS opt-in data is shared only with our SMS delivery provider (Telnyx Inc.) solely for message transmission, with wireless carriers for message routing and delivery, and as required by applicable law. SMS consent collected on the Iris Financial platform is never shared with or reused by any other Iris Secure product.
Supported carriers include all major US wireless carriers such as AT&T, Verizon, and T-Mobile, as well as regional carriers. Carriers are not liable for delayed or undelivered messages. Iris Financial is not responsible for messages that are delayed or not delivered due to factors outside our control.

The Services, including all software, designs, text, graphics, logos, and other content provided by Iris Financial, are owned by Iris Secure Technology Solutions LLC or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes in accordance with these Terms. You retain ownership of the data and content you submit to the Services, and you grant us a limited license to process that content solely to provide the Services.
Iris Financial is not a bank and does not provide banking, deposit, or fiduciary services. Payment processing is provided by third-party processors such as Stripe.
The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or completely secure.
To the maximum extent permitted by law, Iris Secure Technology Solutions LLC and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services. Our total aggregate liability arising out of or related to these Terms or the Services will not exceed the total fees you paid to us for the Services during the twelve (12) months immediately preceding the event giving rise to the claim.
You may stop using the Services and close your account at any time. We may suspend or terminate your access to the Services, with or without notice, if you violate these Terms, if required by law, or to protect the security or integrity of the Services. Upon termination, your right to use the Services will cease. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and governing law — will survive. Certain records, including SMS opt-in and opt-out consent records, may be retained after account closure as required for legal and compliance purposes as described in our Privacy Policy.
These Terms are governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of laws principles. You agree that any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts located in Massachusetts.
We may update these Terms from time to time. For material changes, we will provide at least thirty (30) days' notice before the changes take effect, by posting the updated Terms with a revised "Last Updated" date and, where appropriate, by notifying you through the Services or by email. Your continued use of the Services after the changes take effect constitutes your acceptance of the revised Terms.
